Terms of Service
1. These terms
1.1 These terms govern your use of Sales Innovator's website, software and services. By creating an account, buying a subscription or booking a programme, you agree to them.
1.2 Sales Innovator is operated by [TBC: legal entity name] (ABN 83 882 164 108), Sydney, Australia. Contact info@salesinnovator.ai.
1.3 If you agree to these terms for an organisation, you confirm you are authorised to bind it, and "you" means that organisation.
2. What we provide
2.1 Sales Innovator Intelligence generates point-of-view documents about companies you nominate, using AI research and generation.
2.2 Sales Innovator Accelerate drafts responses to tender and RFP documents you upload. It is in pilot; availability is by arrangement.
2.3 Sales Innovator Quotient is a survey-based assessment of value-selling maturity, sold per person.
2.4 Training programmes, keynotes and the book are sold separately on the terms stated at purchase.
3. Accounts and subscriptions
3.1 You must give accurate information and keep your credentials secure. You are responsible for activity on your account.
3.2 Subscriptions are monthly unless stated otherwise, and renew automatically until cancelled. Cancel at any time from your account or by emailing info@salesinnovator.ai; cancellation takes effect at the end of the paid period.
3.3 Where a free trial is offered, you may cancel before it ends without charge. If you do not, the subscription begins at the listed price.
3.4 Plans are metered by documents generated per month. Allowances do not carry over. Where you hold more than one subscription, allowances pool as described at purchase.
3.5 Prices are in Australian dollars and exclude GST unless stated. We may change prices with 30 days' notice; changes apply from your next renewal.
3.6 Seats are for named individuals. Sharing credentials across people is not permitted.
4. What happens when a subscription ends
4.1 When a subscription ends, your access to the software stops.
4.2 Ending a subscription does not delete your data. Documents you have generated remain subject to the 365-day retention period in our Privacy Policy and are deleted automatically when it expires. Your company profile, template configuration and feedback remain until you delete them.
4.3 Export your documents before your access ends. We do not provide an export service after access stops, and we are not obliged to restore access so that you can export.
4.4 You can delete your data at any time from your account, or by emailing info@salesinnovator.ai. Deletion is permanent and cannot be reversed. It does not cancel your subscription; that is a separate action.
4.5 We may suspend or terminate an account for breach of these terms, non-payment, or misuse. Where we do so without cause, we refund the unused portion of the period paid for.
5. Your content and your rights
5.1 You keep ownership of everything you provide: prospect details, objectives, notes, company profiles, templates and uploaded documents.
5.2 You own the documents the software generates for you. Use them commercially however you wish.
5.3 You grant us a licence to process your content solely to provide the service, including sending it to the AI providers named in our Privacy Policy. We do not use your content to train AI models, and our providers are contractually barred from doing so.
5.4 You are responsible for having the right to provide the content you enter, including any personal information about people at the companies you research, and for complying with any confidentiality obligations you owe to others.
5.5 We may use anonymised, aggregated usage statistics to improve the service. These never include your content or identify you or any company you research.
5.6 If you give us a testimonial through the feedback form, you agree we may use it in our marketing with your name and company, unless you tell us otherwise.
6. AI-generated output: what you must check
6.1 The software uses AI research and generation. Output can contain errors, out-of-date information or statements that appear authoritative but are wrong.
6.2 You must verify every factual claim, figure, citation and source before using a document with a client or in a tender. We label the origin of claims to help you do this. Labelling is an aid, not a warranty.
6.3 Nothing the software produces is professional, financial, legal or investment advice, and it is not a recommendation to take any commercial action.
6.4 You are solely responsible for what you do with the output, including anything you submit to a client or a tender process.
6.5 Where a document states no honest answer is available, or marks an item for your attention, do not represent it as complete without addressing that item.
7. Acceptable use
You must not:
- use the service unlawfully, or to infringe anyone's rights
- enter personal information you have no right to provide
- attempt to extract, reverse engineer or replicate the underlying prompts, models or framework
- resell, sublicense or provide the service to third parties without a partner agreement
- use automated means to access the service beyond normal use, or circumvent usage limits
- upload malicious code, or attempt to gain unauthorised access to our systems or another customer's data
- use the service to create content that is misleading, deceptive or defamatory about any person or company
7.1 We may suspend access immediately where we reasonably believe this section has been breached.
8. Intellectual property
8.1 The Sales Innovators framework, the software, the website, our name and logo, and all associated materials are our property or licensed to us. These terms grant you no rights in them beyond use of the service.
8.2 Training materials are licensed to the named participant for their own use. They may not be reproduced, distributed or used to deliver training to others without written permission.
8.3 Certification, where granted, is personal to the individual and may be withdrawn for misrepresentation.
9. Training, events and keynotes
9.1 Places are confirmed on payment. [TBC: cancellation terms: notice period and refund scale.]
9.2 We may reschedule a programme; where we do, you may transfer to the new date or take a full refund.
9.3 Recording our sessions is not permitted without written consent.
9.4 In-house and keynote engagements are governed by the statement of work or engagement letter for that engagement, which prevails over these terms where they conflict.
10. Availability and support
10.1 We aim to keep the service available but do not guarantee uninterrupted access. We may perform maintenance, and will give notice where practical.
10.2 The service depends on third-party providers. We are not liable for their outages, though we will act reasonably to restore service.

10.4 We may change or discontinue features. Where a change materially reduces what a paid subscription provides, we will give 30 days' notice and you may cancel for a pro-rata refund.
11. Consumer rights, warranties and liability
11.1 Nothing in these terms excludes rights under the Australian Consumer Law. Where a consumer guarantee applies and the failure is not major, our liability is limited to resupplying the service or paying the cost of resupply.
11.2 Subject to clause 11.1, the service is provided as is. We give no warranty that the output is accurate, complete, fit for a particular purpose, or will produce any commercial result.
11.3 Subject to clause 11.1, neither party is liable for indirect or consequential loss, loss of profit, revenue, business opportunity, goodwill or data, however caused.
11.4 Subject to clause 11.1, our total liability arising from the service is limited to the fees you paid in the 12 months before the claim.
11.5 You indemnify us against claims arising from your breach of these terms, your misuse of the service, or your use of generated output, including any claim that content you entered infringed someone's rights.
12. Privacy and confidentiality
12.1 We handle personal information as set out in our Privacy Policy at salesinnovator.ai/privacy, which forms part of these terms.
12.2 Each party will keep the other's confidential information confidential and use it only for the purposes of these terms. This does not apply to information that is public, already known, or required to be disclosed by law.
12.3 Administrative staff can see account and generation metadata and feedback records as described in the Privacy Policy. We do not disclose that information to other customers.
13. General
13.1 We may update these terms. Material changes take effect 30 days after we notify account holders by email or post notice in the service. Continuing to use the service after that is acceptance.
13.2 These terms are governed by the laws of New South Wales, Australia, and both parties submit to the exclusive jurisdiction of its courts.
13.3 Before starting proceedings, each party will attempt in good faith to resolve the dispute by discussion, and then by mediation in Sydney, unless urgent relief is needed.
13.4 If a clause is unenforceable it is severed and the rest continues. A failure to enforce a right is not a waiver of it. You may not assign these terms without our consent; we may assign them on a sale of the business.
13.5 Neither party is liable for failure to perform caused by events beyond its reasonable control.
13.6 These terms, with the Privacy Policy and any statement of work, are the entire agreement between us.
